1. Acceptance of Terms
By accessing or using Stembl, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the platform.
2. Eligibility
You must be at least 18 years old to use Stembl. By creating an account, you confirm that you are 18 or older and have the legal capacity to enter into binding agreements.
3. Account Responsibilities
When you create a Stembl account, you agree to provide accurate and complete information. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Each person may hold only one Stembl account.

4. The Platform
Stembl is a performance-based music promotion marketplace. We connect artists who want to promote their music on TikTok with micro-creators who make videos using that music and earn money based on verified views.
Stembl is a marketplace. We facilitate the connection between artists and creators but are not a party to the relationship between them.
5. For Artists
Campaign Creation
As an artist, you can create promotion campaigns by setting a budget and submitting your track. Once your campaign is live, creators can pick it up and start making videos with your music.
Platform Fee
Stembl charges a platform fee on campaigns. The applicable fee is displayed at checkout before you confirm your campaign.
No Guaranteed Views
Stembl does not guarantee any minimum number of views, engagements, or results for your campaign. Performance depends on creator participation and audience response.
No Refunds
Once a campaign is launched and creators begin submitting content, no refunds are issued. Please review your campaign details carefully before confirming.
Music Rights
By creating a campaign, you confirm that you hold the necessary rights to the music you submit. You grant creators permission to use your music in their social media content for the purpose of fulfilling your campaign.
Content Standards
You may not submit music that contains hate speech, explicit violence, or content that violates applicable laws. Stembl reserves the right to reject or remove campaigns that violate these standards.
6. For Creators
Sponsored Content Disclosure
You must disclose sponsored content on every video you create through Stembl. This means using #ad, a paid partnership label, or an equivalent disclosure on each post.
This is required by the FTC (United States), ARPP (France), ASA (United Kingdom), and similar advertising regulators worldwide. You are responsible for complying with the advertising disclosure laws that apply in your country or region.
Stembl enforces disclosure requirements in the app, but ultimate responsibility for compliance is yours.
View Authenticity
Stembl reserves the right to withhold payment for videos where view authenticity cannot be verified. This includes but is not limited to views generated by bots, view farms, artificial engagement services, and any form of view manipulation.
Video Guidelines
Stembl may refuse payment if a video does not meet the campaign guidelines set by the artist. Make sure to review campaign requirements before creating content.
Payouts
Payouts are issued in USD only. The minimum withdrawal amount is $25. Payouts are processed within 72 hours after admin approval. Processing may take longer in cases of suspected fraud or additional verification.

Fees
Applicable fees are displayed in your creator dashboard. Please review them before requesting a withdrawal.
Prohibited Behavior
The following activities are strictly prohibited on Stembl:
- Using bots or automated tools to inflate views
- Purchasing views from view farms or engagement services
- Any form of engagement manipulation
- Creating multiple accounts (multi-accounting)
- Using fake or impersonated accounts
Consequences for prohibited behavior include immediate account suspension, forfeiture of your remaining balance, and return of those funds to the campaign pool for redistribution to legitimate creators.
Content Ownership
You retain full ownership of the videos you create. By posting content through Stembl, you grant Stembl a non-exclusive, worldwide, royalty-free license to display, reference, and promote your content on the Stembl platform.
7. Intellectual Property
Stembl does not claim ownership of any content you create or submit on the platform. All user content remains the property of its respective owner.
The Stembl name, logo, and brand assets are trademarks of Stembl. You may not use our trademarks without prior written permission.
8. Account Suspension and Termination
We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or take actions that harm the platform or its users.
You may delete your account at any time by contacting us at legal@stembl.com.
9. Limitation of Liability
Stembl is provided “as is” without warranties of any kind, express or implied. To the fullest extent permitted by law, Stembl is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.
Our total liability to you for any claim related to Stembl is limited to the amount you paid to Stembl in the 12 months preceding the event giving rise to the claim.
Stembl is not liable for creator content, third-party actions, or changes to the TikTok platform that may affect campaign performance.
10. Indemnification
You agree to indemnify and hold Stembl harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, any content you create or submit, or your violation of these terms.
11. Dispute Resolution
Any dispute arising from or related to these terms or your use of Stembl will be resolved through binding arbitration under the laws of the State of Delaware, USA. By using Stembl, you waive the right to participate in class action lawsuits or class-wide arbitration.
For users in the European Union: this section does not affect your statutory rights under local consumer protection laws.
12. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles.
For consumers in the European Union: the mandatory consumer protection laws of your country of residence continue to apply.
13. Changes to Terms
We may update these terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of Stembl after the effective date constitutes acceptance of the updated terms.
14. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
